1. Agreement to these terms
These Terms of Conditions (“Terms”) are an agreement between you and FBR Digital Invoicing (“we”, “us”, “our”). They apply when you visit the website, create an account, or use the software to create, validate, or report digital invoices.
By using the service you accept these Terms. If you do not agree, do not use the product and contact us.

3. Eligibility
The service is for businesses and professionals. You must have authority to bind the organisation you represent. You must provide accurate registration details, including NTN and STRN where FBR requires them.
4. Description of the service
FBR Digital Invoicing is software that may include:
- Creating and managing FBR-compliant digital invoices.
- Uploading invoices from PDF or Excel, including bulk batches.
- Validating data and submitting it through FBR’s digital invoicing APIs.
- Wallet credits and optional add-ons such as multi-user access or Shopify.
- Storing submission logs, QR codes, and transaction numbers for your records.

5. User accounts
Account creation
You must keep registration data current. You are responsible for every action taken under your workspace, including by users you invite.
Account security
Keep passwords and API credentials confidential. Tell us promptly if you suspect unauthorised access. We may suspend an account that looks compromised.
6. Your responsibilities
You are responsible for:
- The accuracy of invoices, tax headers, and party details you submit.
- Having the right to process customer and supplier data you upload.
- Using FBR sandboxes and production credentials only as FBR allows.
- Your own tax filings, returns, and correspondence with FBR.
7. Not legal or tax advice
The software helps you format and report invoices. It is not legal, accounting, or tax advice. FBR rules change; you remain responsible for staying compliant. If you need counsel, hire a qualified professional.
8. Fees, billing, and suspension
Plans and credits
Paid use is billed as described on Pricing: subscriptions, wallet credits (one reported invoice, one credit unless we say otherwise), and optional add-ons.
One-time setup
Paid plans include a one-time setup of Rs. 15,000 for sandbox clearance, production go-live, and onboarding, unless we agree otherwise in writing.
Trials, renewal, and refunds
Trials, if offered, are limited as stated at sign-up. Paid terms renew until you cancel. Fees already charged are non-refundable except where Pakistani law requires otherwise. See our Return & Refund Policy.
Taxes and non-payment
Prices may be exclusive of tax. A services sales tax may apply (for example 15% for Islamabad-based businesses, as noted on Pricing). If invoices go unpaid we may suspend or terminate access after notice.
9. Acceptable use
You must not:
- Submit false, duplicate, or unauthorised invoices to FBR.
- Probe, disrupt, or overload the service or FBR APIs.
- Share an account in a way your plan does not allow.
- Reverse engineer the software except as the law permits.
- Use the service for anything unlawful under Pakistani law.
10. Third-party integrations
Shop, email, and FBR systems are operated by others. Their availability, terms, and downtime are outside our control. We are not liable for those platforms, including FBR outages or API changes.
11. Data and privacy
How we collect and use personal data is set out in our Privacy Policy. You grant us a licence to host and process invoice content solely to provide the service, including reporting to FBR when you instruct us to.
12. Intellectual property
The software, branding, designs, and documentation remain ours. You keep ownership of the invoice content you upload. You may not copy, resell, or white-label the product except under a separate written partner agreement.
13. Availability
We aim for a reliable service but do not guarantee uninterrupted access. Maintenance, FBR API limits, and events beyond our control may cause delay. We may change or discontinue features with reasonable notice where we can.
14. Disclaimer of warranties
The service is provided “as is”. To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that FBR will accept every invoice or that reporting will be error-free.
15. Limitation of liability
We are not liable for indirect, incidental, special, or consequential loss, including lost profits, lost data, tax penalties, or FBR fines, even if we were advised they might occur. Our total liability for any claim arising from the service is limited to the fees you paid us in the three months before the claim, except where Pakistani law forbids that limit.
16. Termination
You may stop using the service at any time. We may suspend or end access if you breach these Terms, fail to pay, or if we must do so for legal or security reasons. After termination we may retain records as required for tax and audit, as described in the Privacy Policy.
17. Governing law
These Terms are governed by the laws of the Islamic Republic of Pakistan. Courts in Pakistan have exclusive jurisdiction, unless a mandatory consumer rule says otherwise.
18. Changes to these terms
We may update these Terms as the product or the law changes. The “Last updated” date will change when we do. Continued use after an update means you accept the revised Terms. Material changes may also be emailed to the address on your account.
